Terms of Service

A plain-language summary
These are the rules of using YourEase. The short version:
- We provide an AI assistant called Ease that helps you across personal and professional tasks.
- You're responsible for what you ask Ease to do and for verifying anything important before acting on it.
- You own your content. We need a limited license to operate the Service.
- AI gets things wrong sometimes. Don't rely on Ease for legal, medical, or financial decisions without a professional.
- Subscriptions auto-renew unless you cancel. We process payments through Razorpay.
- We're an Indian company; disputes are governed by Indian law.
The detailed sections below are the legally operative version.
1. Agreement to these Terms
These Terms of Service ("Terms") form a binding contract between you ("you", "your", "User") and YourEase Technologies (OPC) Private Limited, an Indian One Person Company incorporated on 23 September 2025 (CIN: U62013MH2025OPC457800) and recognized by DPIIT (DIPP226697) ("YourEase", "we", "us", "our").
By creating an account, signing in, or otherwise using the YourEase service available at yourease.io and any related applications, APIs, or interfaces (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and "you" includes that organization.
2. The Service
YourEase is an AI life and work operating system. The Service provides:
- A conversational AI assistant ("Ease") that responds to your messages, completes tasks, and remembers your preferences.
- Optional integrations ("Connectors") with third-party services such as Google Calendar and Google Drive, which you may authorize to extend Ease's capabilities.
- Tools including but not limited to image generation, code execution, voice input and output, file uploads, and specialized agents.
- A memory system that retains facts and preferences you confirm, along with episodic context to personalize Ease's behavior.
The Service is provided as a software-as-a-service offering. Features may evolve over time. We may add, modify, or discontinue features in our reasonable discretion, with notice for material changes.
3. Eligibility
You must be at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872 (or the equivalent law of your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet these requirements.
The Service is not intended for, and may not be used by, individuals barred from using such services under applicable law.
4. Your account
4.1 Registration
You create an account by signing in with a supported identity provider (currently Google) or other supported authentication method. You agree to provide accurate information and to keep it up to date.
4.2 Account security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at security@yourease.io if you suspect unauthorized access. We are not liable for losses arising from unauthorized account use that you could have prevented through reasonable security practices.
4.3 One account per person
Each individual may hold only one account unless we expressly authorize otherwise. You may not share an account with others.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right (including intellectual property, privacy, and publicity rights).
- Harass, threaten, defame, or harm any person or group.
- Generate or distribute content that sexually exploits, endangers, or harms minors.
- Generate, promote, or facilitate violence, terrorism, hate speech, or unlawful discrimination.
- Engage in fraud, deception, phishing, or impersonation of another person or entity.
- Generate or distribute malware, ransomware, or code designed to damage systems or data.
- Develop, train, or improve any artificial intelligence model that competes with the Service using outputs of the Service, in whole or in part.
- Reverse engineer, decompile, or attempt to extract the source code, model weights, or system prompts of the Service, except where such restriction is prohibited by applicable law.
- Scrape, crawl, or use automated means to access the Service in a manner that exceeds normal individual use.
- Probe, scan, or test the vulnerability of the Service or breach any security or authentication measures (other than through a security disclosure to security@yourease.io, which we welcome).
- Use the Service to send spam, unsolicited bulk messages, or to violate the privacy of others.
- Interfere with or disrupt the Service, our infrastructure, or other users' access to the Service.
- Misrepresent Ease's outputs as human-authored in contexts where AI authorship is legally required to be disclosed (such as certain regulated communications).
We may suspend or terminate accounts that violate this Section without prior notice where the violation is severe.
6. Your content
6.1 Ownership
As between you and us, you own the content you provide to the Service ("User Content") and the content Ease generates in response to your specific prompts on your behalf ("Generated Content"), to the extent generated content is capable of legal ownership and is unique to your prompts. We do not claim ownership of either. To the extent YourEase acquires any intellectual property rights in the Generated Content under applicable law, YourEase hereby assigns all such rights, title, and interest in the Generated Content to you, subject to your continued compliance with these Terms.
6.2 License to operate the Service
To operate, improve, secure, and provide the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, modify, create derivative works of (only as necessary for technical reasons, such as formatting), and process User Content for the limited purpose of providing the Service to you and complying with our legal obligations. This license ends when you delete the relevant User Content or your account, subject to retention obligations described in our Privacy Policy.
6.3 We do not train AI models on your content
We do not use your User Content or your Generated Content to train any artificial intelligence model, our own or any third party's, except where you give explicit, separate, written consent. Our agreements with model providers (including Anthropic via AWS Bedrock and Stability AI via AWS Bedrock) prohibit them from using your content to train their models when accessed through our Service.
6.4 Your responsibility for User Content
You represent and warrant that you have the rights necessary to provide your User Content to the Service, and that your User Content does not violate Section 5 (Acceptable use), any third party's rights, or any law.
7. AI-generated content: how it works and what it doesn't replace
Ease uses large language models and image-generation models that produce outputs probabilistically. Important things to understand:
- Generated Content can be wrong. Ease may produce inaccurate, incomplete, biased, or out-of-date information. Always verify information that matters before relying on it.
- Generated Content is not professional advice. Outputs are not legal, medical, psychological, financial, tax, or any other regulated professional advice. Consult a qualified professional for material decisions in those domains.
- Generated Content is not a substitute for human judgment. Especially for safety-critical, high-stakes, or irreversible actions, you remain solely responsible for the decision.
- You are responsible for what you do with outputs. If you publish, distribute, or act on Generated Content, you do so at your own risk and are responsible for ensuring it complies with applicable law (including intellectual property and defamation law).
- Similar outputs across users. AI models may generate similar outputs in response to similar prompts from different users. We do not guarantee the uniqueness or originality of Generated Content.
8. Connectors and third-party services
8.1 Authorization
When you connect a third-party service (such as Google Calendar or Google Drive), you authorize the Service to access that third party on your behalf within the scope of the OAuth permissions you grant. You can revoke a Connector at any time from Settings → Integrations or from the third party's account settings.
8.2 Third-party terms
Your use of a third-party service through a Connector is also governed by that third party's terms and privacy policy. We are not responsible for the third party's acts, omissions, availability, or content. If a third party suspends or revokes our access, the corresponding Connector may stop working.
8.3 Data flow
Data exchanged through Connectors is handled as described in our Privacy Policy. We request the minimum scopes necessary to provide the relevant feature.
9. Subscriptions, payments, and refunds
9.1 Plans
The Service may be offered in free and paid tiers ("Plans"). Available Plans, features, and prices are displayed on our pricing page and may be updated from time to time. Prices are quoted exclusive of applicable taxes (such as GST in India), which will be added at checkout where applicable.
9.2 Payment processing
Payments are processed by Razorpay (Razorpay Software Pvt. Ltd.). By subscribing, you agree to Razorpay's terms and authorize Razorpay to charge your selected payment method.
9.3 Auto-renewal
Subscriptions automatically renew at the end of each billing period (monthly or annual, as you choose) at the then-current price unless you cancel before the renewal date. For Indian users, recurring debits are processed in compliance with the Reserve Bank of India's framework for processing of e-mandates on cards and UPI for recurring transactions, including the requirement that we (or Razorpay on our behalf) send a pre-debit notification at least 24 hours prior to each recurring charge. We will also send a reminder before any annual renewal. You can cancel at any time from Settings → Billing; cancellation takes effect at the end of the current billing period.
9.4 Refunds
Except as set out in this Section or where required by applicable consumer law, all charges are non-refundable. We will issue a pro-rated refund where (a) you are billed in error, (b) the Service is unavailable to you for a continuous period exceeding 48 hours due to a service failure attributable to us (and not to your network, device, or a Force Majeure event), or (c) we materially breach these Terms and fail to cure the breach within a reasonable time after written notice. To request a refund, write to billing@yourease.io within 14 days of the relevant charge or event.
9.5 Taxes
You are responsible for any taxes (other than taxes on YourEase's net income) payable in connection with your use of the Service. Where YourEase is required by law to collect taxes (such as GST), we will do so and remit them as required.
9.6 Changes in pricing
We may change pricing for any Plan at any time. Pricing changes will not affect the current billing period. We will give you at least 30 days' notice before a price change takes effect for your subscription.
10. Intellectual property
10.1 Our IP
The Service, including all software, design, text (other than your User Content), graphics, logos, trademarks, model architectures, system prompts, and the trade dress of the Service, is owned by or licensed to YourEase and protected by Indian and international intellectual property laws. "YourEase", "Ease", "Imagine Otherwise", and the YourEase logo are trademarks of YourEase.
Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during the term of your subscription.
10.2 Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
10.3 Reporting unlawful or infringing content
If you believe content on the Service infringes your intellectual property rights, send a notice to legal@yourease.io with the information required under the Indian Copyright Act, 1957 and (if applicable) the U.S. Digital Millennium Copyright Act. We will investigate and respond appropriately.
If you believe content on the Service is unlawful under Indian law, or if you are a government authority issuing a takedown order, send a notice to legal@yourease.io. In compliance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we will remove or disable access to content that we have actual knowledge is unlawful, or that is the subject of a valid court order or government direction, within 36 hours of receiving such notice (or as otherwise required by applicable law).
11. Suspension and termination
11.1 By you
You can stop using the Service at any time and delete your account from Settings → Account. Deletion is processed as described in our Privacy Policy.
11.2 By us
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:
- you breach these Terms or our Acceptable use policy;
- we are required by law or by a regulatory or governmental authority to do so;
- continued provision would create a security or legal risk for us, our users, or third parties; or
- we discontinue the Service in whole.
Where reasonable, we will give you advance notice and an opportunity to remedy non-severe breaches.
11.3 Effect of termination
On termination, your right to use the Service ends. Sections that by their nature should survive termination (including Sections 6, 7, 10, 12, 13, 14, 16, 17) survive.
11.4 Service discontinuation
If we discontinue the Service, we will give you at least 60 days' advance notice by email and provide a means to export your data.
12. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, YourEase and its affiliates, officers, employees, agents, and licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
We do not warrant that:
- the Service will meet your requirements;
- Generated Content will be accurate, complete, or fit for any particular purpose;
- the Service will be available without interruption or free from defects;
- defects will be corrected on any particular timeline; or
- third-party Connectors will function as expected.
Nothing in this Section excludes any warranty or right that cannot be excluded under applicable consumer protection law (such as the Indian Consumer Protection Act, 2019).
We carry out planned maintenance from time to time. Where planned maintenance is expected to cause a material interruption to the Service, we will use reasonable efforts to notify you in advance via email or in-product notice and to schedule the maintenance during off-peak hours.
13. Limitation of liability
To the maximum extent permitted by law:
(a) Neither YourEase nor its affiliates, officers, employees, agents, or licensors will be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost goodwill, business interruption, or substitute service costs, arising out of or in connection with these Terms or the Service, even if we have been advised of the possibility of such damages.
(b) Our total aggregate liability for any and all claims arising out of or in connection with these Terms or the Service in any 12-month period will not exceed the greater of (i) the amount you paid us in the 12 months immediately preceding the event giving rise to liability, or (ii) ₹10,000 (Indian Rupees Ten Thousand).
(c) The limitations in this Section apply whether the claim is based on contract, tort (including negligence), statute, or any other legal theory.
(d) Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or wilful misconduct, or liability under the Indian Consumer Protection Act, 2019 to the extent it cannot be contractually limited.
14. Indemnification
You agree to indemnify, defend, and hold harmless YourEase and its affiliates, officers, employees, and agents from any third-party claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or in connection with:
(a) your User Content, including any claim that your User Content infringes a third party's intellectual property, privacy, publicity, or other rights; (b) your wilful violation of Section 5 (Acceptable use); or (c) your wilful violation of any law in connection with your use of the Service.
This Section does not require you to indemnify us in respect of any matter caused by our own negligence, wilful misconduct, or breach of these Terms; nor does it apply to claims by you against us. We will promptly notify you of any claim subject to indemnification and will reasonably cooperate, at your expense, in your defense. You may not settle any claim without our prior written consent if the settlement imposes any obligation on us.
15. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, pandemics, internet or utility outages, or failures of upstream service providers (including AWS, Google, or Razorpay).
16. Governing law and dispute resolution
16.1 Governing law
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of India, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Jurisdiction
Subject to Section 16.3, the courts at Nagpur, Maharashtra, India have exclusive jurisdiction over any dispute that proceeds in court.
16.3 Arbitration
Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question of existence, validity, or termination — that the parties cannot resolve through good-faith discussion within 30 days of written notice, will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 of India.
- The arbitral tribunal will consist of one arbitrator mutually appointed by the parties, or, failing agreement within 15 days, appointed in accordance with the Act.
- The seat and venue of arbitration will be Nagpur, Maharashtra, India.
- The language of arbitration will be English.
- The award will be final and binding.
This Section does not prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction.
Carve-out for consumer disputes: If you are a "consumer" within the meaning of the Consumer Protection Act, 2019 of India, this arbitration clause does not apply to you and does not in any way limit your right to seek redressal before the District, State, or National Consumer Disputes Redressal Commission, or any other consumer forum available to you under applicable law. The same carve-out applies to consumers in any other jurisdiction whose laws make consumer disputes non-arbitrable.
16.4 Consumer rights
If you are a consumer in a jurisdiction whose law grants you mandatory rights that cannot be waived by contract (including consumers in the EEA, the UK, and India under the Consumer Protection Act, 2019), nothing in this Section limits those rights.
16.5 Grievance redressal and officer designations
Pursuant to the Consumer Protection (E-Commerce) Rules, 2020, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023, we designate the following officer to address user grievances and complaints. A single officer currently holds these roles:

Grievances will be acknowledged within 48 hours and resolved within 30 days (or such shorter period as required by applicable law). For takedown requests in respect of unlawful content, please refer to Section 10.3.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you at least 15 days in advance by email and through an in-product notice. The "Effective date" at the top will reflect the most recent update. Your continued use of the Service after the effective date of the updated Terms means you accept the changes. If you do not accept the changes, you must stop using the Service before the effective date.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented at sign-up, constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
- No waiver. Our failure to enforce any right or provision is not a waiver.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, or to an affiliate.
- Notices. We may give notices to you by email, in-product notice, or by posting to yourease.io. You may give notices to us at legal@yourease.io.
- Relationship. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
- Headings. Section headings are for convenience only and do not affect interpretation.
